Terms of Service

1. The Platform

Yellow Iron Parts Exchange is a marketplace that connects sellers of used and salvage heavy equipment parts with buyers across North America. Yellow Iron is not a party to transactions between buyers and sellers — we facilitate introductions and provide escrow and dispute resolution services.

Listings are submitted by sellers and are subject to review before publication. Yellow Iron reserves the right to decline or remove any listing at our discretion.

2. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use this platform. By using Yellow Iron, you represent and warrant that you meet these requirements.

Use of the platform for personal, household, or consumer purposes is not intended. Yellow Iron is designed for commercial transactions between businesses and individuals operating in the heavy equipment industry.

3. Seller Obligations

By listing a machine or parts on Yellow Iron, you agree to:

• Provide accurate and complete information about the machine, its condition, and the parts you are offering for sale
• Only list parts that are genuinely available and in your possession or control
• Ship parts promptly upon confirmation of payment being held in escrow
• Accurately describe the condition of each part — "working," "unknown," and "for parts" are distinct conditions and must be represented honestly
• Not list parts that are stolen, counterfeit, or otherwise legally encumbered
• Respond to buyer inquiries and Yellow Iron communications in a timely manner

Misrepresentation of parts condition is grounds for account termination and may subject you to dispute resolution outcomes including full refund of the buyer's payment.

4. Buyer Obligations

By submitting an inquiry or initiating a purchase on Yellow Iron, you agree to:

• Provide accurate contact and company information
• Inspect the part within the 10-day inspection window after confirmed delivery
• Submit disputes within the 10-day inspection window — disputes submitted after the window closes will not be honored
• Return disputed parts promptly and in the same condition as received, at your own cost unless Yellow Iron determines otherwise
• Not attempt to contact sellers directly to circumvent Yellow Iron's introduction process or escrow

5. Escrow and Payment

Yellow Iron operates an escrow model for all transactions initiated through the platform. When a buyer initiates a purchase:

• Payment is collected from the buyer and held by Yellow Iron through our payment processor
• Funds are not released to the seller until the buyer confirms the part works or the 10-day inspection window expires without a dispute
• If a dispute is raised within the inspection window, Yellow Iron will review the case and may require return of the part before issuing a refund
• Yellow Iron's decision in dispute resolution is final

Payment processing is handled by Stripe Connect. Yellow Iron does not store payment card numbers or bank account details.

6. Commission and Fees

Yellow Iron charges a commission on closed sales. The commission rate is displayed at the time of transaction initiation and deducted from the seller's payout when funds are released.

Listing on Yellow Iron is free. No fee is charged to sellers unless a sale closes. No fee is charged to buyers.

7. Prohibited Conduct

You may not use Yellow Iron to:

• List, sell, or purchase stolen, counterfeit, or illegally obtained parts
• Circumvent the escrow process or arrange payment outside the platform after an introduction has been made
• Submit false or misleading listing information
• Harass, threaten, or deceive other users
• Scrape, crawl, or otherwise extract data from the platform without written permission
• Use the platform for any purpose that violates applicable law

Violation of these prohibitions is grounds for immediate account termination and may result in referral to law enforcement.

8. OEM Part Numbers and Compatibility

Yellow Iron provides a compatibility checking tool as a convenience feature only. Compatibility results are not guaranteed. Buyers are responsible for independently verifying that a part is compatible with their machine before completing a purchase. Yellow Iron is not liable for purchases made based on compatibility results that prove incorrect.

OEM part numbers stored on the platform are used internally for compatibility lookups only and are never disclosed to buyers, sellers, or the public.

9. Intellectual Property

The Yellow Iron platform, including its design, code, and content, is owned by Yellow Iron Parts Exchange and protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works from any part of the platform without written permission.

By submitting photos or other content to Yellow Iron, you grant us a non-exclusive, worldwide, royalty-free license to display that content on the platform for the duration of your listing.

10. Disclaimers and Limitation of Liability

Yellow Iron provides the platform "as is" without warranty of any kind. We do not warrant that listings are accurate, that parts will perform as described, or that the platform will be uninterrupted or error-free.

To the maximum extent permitted by law, Yellow Iron's liability to any party is limited to the lesser of the commission fees collected on the specific transaction giving rise to the claim, or $500. Yellow Iron is not liable for indirect, incidental, consequential, or punitive damages of any kind.

Yellow Iron is not responsible for the condition of parts sold through the platform beyond administering the escrow and dispute resolution process described in these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the platform shall be resolved by binding arbitration in Columbus, Ohio, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify registered users by email.
